    1. PARTIES

    This Agreement is between Webworth Pty Ltd Trading as 51web (ABN: 91 606 762 270) ("The Provider") and the Entity/Person identified in the signup form ("The Partner"). By completing the checkout and checking "I Agree," the Partner enters into a legally binding service agreement.

    2. THE SUBSCRIPTION MODEL

    This is a Managed Website Partnership. The Provider waives all upfront professional design and development fees (valued at $2,000+). In exchange, the Partner commits to an Annual Subscription Plan to cover ongoing technical management, security, maintenance, and growth support.

    3. FEES & PAYMENTS

    • Annual Subscription Fee: As selected by the Partner (Basic: $600 + GST or Premium: $900 + GST).
    • Setup Fee: $0.00.
    • Payment Terms: The Annual Fee is payable in full prior to the commencement of the design phase.
    • Renewal: The subscription automatically renews every 12 months. The Partner will be notified via email 30 days prior to renewal.

    4. 100% RISK-FREE GUARANTEE (REFUND POLICY)

    Delivery Commitment: The Provider commits to delivering the first website draft within 24–48 hours of receiving the Partner's business brief.

    Full Refund: If the Partner is unsatisfied with the initial draft, they may request a 100% refund of the Annual Fee, provided the request is made before any revision instructions are submitted and before the website goes live.

    Commencement of Custom Labor: Once the Partner requests revisions or approves the site for launch, the Annual Fee becomes non-refundable as the Provider's custom labor and server resources are fully committed.

    5. SCOPE OF SERVICE

    Rapid Deployment: The Provider uses a proprietary AI-enhanced framework to deploy a high-performance website tailored to the Partner's industry.

    Concierge Maintenance: Includes unlimited small updates (e.g., changing business hours, swapping 5–10 photos, text edits, updating prices, or posting blogs provided by the Partner).

    Major Structural Changes: Requests for brand-new complex features, third-party integrations, or complete redesigns after launch will be quoted separately at a rate of $150/hr + GST.

    6. OWNERSHIP & FREEDOM (NO LOCK-IN POLICY)

    During Subscription: The Provider grants the Partner an exclusive license to use the website. The underlying proprietary AI frameworks and backend code remain the property of the Provider.

    Partner Assets: All text, branding, and images provided by the Partner remain the Partner's sole property.

    Full Ownership Transfer (Buy-out Option): If the Partner wishes to move to a different provider and take the full site files/source code, a one-time migration and buy-out fee of $1,600 + GST applies.

    Migration Support: Upon buy-out, the Provider will provide a complete code export and assist in installing the site on the Partner's designated server. If requested, the Provider can facilitate the conversion of the site into a WordPress environment for easier self-management by the Partner.

    7. DOMAIN & HOSTING

    The Domain: The Partner retains full ownership of their domain name.

    Hosting: Enterprise-grade managed hosting and SSL security certificates are included in the Annual Fee.

    8. TERM AND TERMINATION

    Initial Term: 12 months from the date of payment.

    Cancellation: The Partner may cancel the subscription at any time; however, no pro-rata refunds are provided for the remaining months of the current term.

    Termination by Provider: The Provider may suspend service if the Partner's business practices breach Australian Consumer Law or if renewal fees remain unpaid.

    9. ELECTRONIC EXECUTION

    Checking the "I Agree" box and completing the payment constitutes a digital signature. The timestamp and IP address of this transaction will be recorded as evidence of the Partner's acceptance of these terms.
